01Parties
These Terms of Sale (the "Terms") form a binding agreement between Ethos Bio, LLC, a Montana limited liability company with its principal place of business in Scottsdale, Arizona ("Ethos Bio," "we," "us"), and any party that places an order through ethosbioresearch.com ("Buyer," "you").
02Research Use Only
Every order is subject to and incorporates the Research Use Only Disclosure. By placing an order, Buyer reaffirms each certification in that disclosure, including age, qualified-researcher status, and intent to use the compounds solely for in-vitro laboratory research consistent with 21 CFR § 201.128.
03Order acceptance
All orders are offers to purchase subject to acceptance by Ethos Bio. Ethos Bio may decline, limit, or cancel any order at its sole discretion — including for incomplete researcher verification, suspected misuse, restricted destination, or inventory limitation. Order acceptance is confirmed only when a shipment notification with a tracking number is issued.
04Pricing and payment
Prices are listed in U.S. dollars and exclude applicable taxes and shipping unless otherwise stated. Payment is due in full at order placement. Accepted payment methods include credit and debit cards processed by Ethos Bio's high-risk merchant processor, cryptocurrency through BTCPay Server, and ACH/wire for institutional buyers. Ethos Bio reserves the right to require additional verification before processing any payment.
05Shipping, cold-chain, and risk of loss
Compounds ship cold-chain (2–8°C) with continuous temperature logging. Title and risk of loss transfer to Buyer upon delivery to the carrier. Ethos Bio is responsible for ensuring compounds leave its facility within specification; Buyer is responsible for accepting delivery at the address provided. Refused, undeliverable, or returned shipments due to Buyer error may incur replacement and reshipment fees.
06Inspection and replacement
Buyer should inspect every shipment immediately upon delivery and notify support@ethosbioresearch.com within five (5) business days of any visible damage, missing items, or temperature-log irregularity. Ethos Bio will replace any vial that arrives below the published purity threshold or outside cold-chain specification at no cost, from the next available verified batch.
07No returns
Due to the nature of biological research reagents and cold-chain integrity requirements, all sales are final once the cold-chain seal is broken. Ethos Bio does not accept returns of opened or used compounds. Replacement under Section 6 is the sole remedy for product defects.
08Reagent Continuity Program
Researchers enrolled in Reagent Continuity (lot-pinned recurring orders) authorize Ethos Bio to reserve and ship from a designated verified batch on the agreed schedule. Continuity may be paused or cancelled by the researcher with at least seventy-two (72) hours notice before a scheduled refill. Reserved batches not claimed within sixty (60) days revert to general inventory.
09Disclaimer of warranties
Compounds are sold "as is" for research use only. To the maximum extent permitted by law, Ethos Bio disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. No warranty is made regarding fitness for therapeutic, medicinal, diagnostic, clinical, or any in-vivo use.
10Limitation of liability
To the maximum extent permitted by law, Ethos Bio's total liability under any theory shall not exceed the purchase price of the specific lot in question. Ethos Bio shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits or research costs, even if advised of the possibility of such damages.
11Indemnification
Buyer agrees to indemnify and hold harmless Ethos Bio, its members, officers, employees, and contractors from any claim, loss, or liability arising from Buyer's misuse of any Ethos Bio compound — including any use inconsistent with the Research Use Only Disclosure.
12Compliance with law
Buyer is solely responsible for complying with all federal, state, and local laws governing the possession, use, and disposal of research chemicals in Buyer's jurisdiction. Ethos Bio makes no representation that any compound is legal to possess in any specific jurisdiction.
13Force majeure
Ethos Bio is not liable for delays or failures of performance caused by events beyond reasonable control, including but not limited to acts of God, war, pandemic, government action, carrier disruption, or supply-chain shortage.
14Governing law and dispute resolution
These Terms are governed by the laws of the State of Arizona without regard to conflict-of-law principles. Any dispute arising under or relating to these Terms shall be resolved by binding arbitration in Maricopa County, Arizona under the rules of the American Arbitration Association. Class actions are waived.
15Modifications
Ethos Bio may update these Terms by posting a revised version at ethosbioresearch.com/terms. The version in effect on the date of order placement governs that order.
